Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the websites, products, and services operated by Aaych LLC (“Aaych,” “we,” “us,” or “our”) and its brands, including aaych.com and plotter.club (collectively, the “Services”). Individual brands operated by Aaych LLC may publish supplemental terms specific to their products; where they do, those terms apply in addition to these Terms, and control in the event of a conflict with respect to that brand.

By accessing or using the Services, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Services.

1. Eligibility

You must be at least 13 years old (or the equivalent minimum age in your jurisdiction) to use the Services. If you use the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms, and “you” refers to that organization.

2. Accounts

Some Services may require you to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to provide accurate information and to notify us promptly of any unauthorized use of your account.

3. Acceptable Use

You agree not to misuse the Services. Among other things, you will not:

• Use the Services in violation of any applicable law or regulation;
• Infringe or violate the intellectual property or other rights of others;
• Attempt to gain unauthorized access to the Services, other accounts, or related systems or networks;
• Interfere with or disrupt the integrity or performance of the Services, including by transmitting malware or engaging in denial-of-service attacks;
• Scrape, harvest, or collect information from the Services except as permitted by us in writing;
• Upload or transmit content that is unlawful, defamatory, harassing, or otherwise objectionable;
• Impersonate any person or entity or misrepresent your affiliation with any person or entity.

We may suspend or terminate your access to the Services if we reasonably believe you have violated these Terms.

4. Your Content

Some Services may allow you to submit, upload, or share content (“User Content”). You retain ownership of your User Content. By submitting User Content, you grant Aaych a worldwide, non-exclusive, royalty-free license to host, store, reproduce, and display your User Content as necessary to operate and provide the Services. You represent that you have all rights necessary to grant this license and that your User Content does not violate the rights of any third party.

5. Intellectual Property

The Services, including all software, designs, text, graphics, logos, and trademarks, are owned by Aaych LLC or its licensors and are protected by intellectual property laws. Except as expressly permitted by these Terms, you may not copy, modify, distribute, sell, or lease any part of the Services, nor may you reverse engineer or attempt to extract the source code of any software forming part of the Services.

6. Third-Party Services

The Services may contain links to, or integrate with, third-party websites and services that we do not control. We are not responsible for the content, policies, or practices of any third-party services, and your use of them is at your own risk and subject to their terms.

7. Fees and Payment

Certain Services may be offered for a fee. Where applicable, pricing and payment terms will be disclosed at the point of purchase. Unless otherwise stated, fees are non-refundable except as required by law. We may change pricing prospectively with reasonable notice.

8. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ANY DEFECTS WILL BE CORRECTED.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, AAYCH LLC AND ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, AND AFFILIATES WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT WILL OUR AGGREGATE LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES EXCEED THE GREATER OF ONE HUNDRED U.S. DOLLARS (US$100) OR THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM. SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO SOME OF THE ABOVE MAY NOT APPLY TO YOU.

10. Indemnification

You agree to indemnify, defend, and hold harmless Aaych LLC and its officers, members, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your use of the Services, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without cause or notice. You may stop using the Services at any time. Upon termination, provisions of these Terms that by their nature should survive — including intellectual property provisions, disclaimers, limitations of liability, and indemnification — will survive.

12. Governing Law and Disputes

These Terms are governed by the laws of the United States and the state in which Aaych LLC is organized, without regard to conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in that state, and you consent to the personal jurisdiction of those courts.

13. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will notify you by updating the effective date above and, where appropriate, by providing additional notice. Your continued use of the Services after changes become effective constitutes acceptance of the revised Terms.

14. General

These Terms, together with any supplemental brand-specific terms and our Privacy Policy, constitute the entire agreement between you and Aaych LLC regarding the Services. If any provision of these Terms is held unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any provision is not a waiver of our right to do so later. You may not assign these Terms without our prior written consent; we may assign them without restriction.
